Dear David:

I write to confirm our telephone conversation of
November 30, L982. LDF will assj-st you in challeng-
ing the at-large election system in Ft. Lauderdale,
Elorida. A budget of $10,000.00 has been approved
for this case.

Clyde Murphy will be in touch with you about working
on the pre-trial and trj-al preparation. I will be
available to both you and Clyde for any assistance
I can render. In the meantime, I am forwarding a
copy of the agreement we ask LDF cooperating attorneys
to sign. Please return directly to C1yde.

I look fon^rard to working with you in the future. I
am glad LDF will be associated with you on this case.
