    CERTIFICATE OF INCORPORATION 

or 

NATIONAL OFFICE FOR THE RIGHTS OF THE INDIGEN 

WE, the undersigned, in order to form a non-profit, 

non-stock corporation for tHe purposes hereinafter stated, 

under and pursuant to the provisions of the General Corpore- 

tion Law of the State of Delaware, being Chapter 1 of Title 

8 of the Revised Code of 1953, and the Acts emendatory there- 

of and supplementary thereto, do hereby certify as follows: 

" FIRST: The name of the corporation (hereinafter 

referred to as "the Corporation") is: 

NATIONAL OFFICE FOR THE RIGHTS OF THE 

INDIGENT > INC. 

SECOND: The principal office of the Corporation 

will be in the City of Dover, County of Kent, State of 

Delaware. The ane of its resident agent will be UNITED 

STATES CORPORATION COMPANY, whose address is No. 129 South 

State Street in said city. 

THIRD: The Corporation is formed for, and its 

activities shall be limited to, exclusively charitable, 

scientific, literary Ane educational objects or purposes, 

within the meaning of section 501(c) (3) of the United States 

Internal Reventie Code of 1954, as the same may be from time 

to time amended. The commeretion shall have the following 

as its erctueively charitable, scientific, literary and 

education purposes: 



1. fo render legal aid gratuituously to such 

persons as may appear to be worthy thereof, who are suffering 

legal injustices by reason of economic disadvantage and are 

unable to employ and engage legal aid.and assistance on ac~ 

count of poverty; 

2. To, conduct research, and to collect, 

collate, acquire, compile and publish 4nformation concerning 

the legal rights of the economically disadvantaged and ae 

recognition of those rights by other segments of the American 

public; and 

3. To do any or all lawful acts and things 

which may be necessary, useful, suitable, desirable or 

proper for the furtherance or accomplishment of any or all 

of the foregoing purposes; 

Provided, however, that no substantial part of the activities 

of the Corporation shall be earrying on propaganda , or other- 

wise attempting, to influence legislation, and the Corporation 

shall not participate in, or intervene in (by publishing or 

distributing of statements or otherwise), any political 

campaign on behalf of any candidate for public office. 

FOURTH: In furtherance of such charitable, scientific, 

literary and educational objects and purposes, the Corporation 

shall have the following powers to the extent permitted by 

law, provided, however, that the Corporation may not exercise 

any power, either express or implied, in such a manner as to

Gisqualify the Corporation from exemption from United States 

income tax under section 501(c)(3) of the United States 

Internal. Revenne Code of 1954 as the same may be from time 

to time amended: 

1. To solicit, accept, acquire, purchase, 

receive, hold, administer, deal with, take and receive by 

bequest, devise, grant, gift, lease, benefit of trust, or 

otherwise, for any of its objects and purposes, any property, 

real, personal, tangible or intangible, wheresoever located 

+o invest and reinvest the principal thereof; to receive the 

4ncome therefrom; and to add any such income to principal; 

Pa So} purchase, hold, sell, exchange, convey, 

mortgage, lease, donate, transfer or otherwise dispose of 

any such property, real, personal, tangible or intangible; 

_ 3. To borrow money, and from time to, time, 

to make, accept, endorse, execute, and issue bonds, deben- 

* tures, promissory notes, bills of exchange, and other obliga- -.--, 

tions of the Corporation for moneys borrowed or in payment for 

property acquired or for any of the other purposes of the 

Oerporation, and to secure the payment of any such obligations 

by mortgage, pledge, deed, indenture, agreement, or other in- 

strument of trust, or by other lien upon, assignment of, or 

agreement in regard. to all or any part of the property, rights, 

or privileges of the Corporation vherever situated, whether ~—~——] 

now owned or hereafter to be acquired; ..- 



4, (a) To render legal aid gratuitously to such 

persons as may appear to be worthy thereof, who are suffering 

legal injustices by reason of economic disadvantage and are un- 

able to employ and engage legal aid and assistance on account 

of poverty; 

(b) To conduct research, and to collect, collate, 

acquire, compile and publish information concerning the legal 

rights of the economically disadvantaged anda the recognition of 

those rights by other segments of the American public; and 

5. To the extent permitted by law, to exercise 

its rights, powers and privileges by holding meetings of its 

members and its Board of Directors, and by having one or more 

offices, employing personnel, and establishing offices, branches, 

_ subdivisions and agencies, in any part of the world; and 

6. In general, to exercise such powers which now 

are or hereafter may be conferred by law upon a corporation or- 

ganized for thepurposes hereinabove set forth, or necessary or 

incidental to the powers so ‘conferred, “or conducive to the 

attainment of the purposes of the corporation, subject to such 

limitations as are or may be prescribed by law. 

FIFTH: it is the intention of the Corporation at “all 

times to qualify and remain qualified as exempt from United States 

income tax under section 501(c)(3) of the United States Internal 

Revenue Code of 1951, as the same may be from time to time 

amended. Accordingly: 

1. The Corporation shall not be toadauatee or oper- 

ated for profit, and no part of the net earnings of the Corpora- 

_tion shall inure to the benefit of any member or individuals 



2, No-part of the net earnings or of the prop- 

erty or assets of the Corporation shall be used other than 

for the objects and purposes of the Corporation set out in 

Article THIRD of this Certificate of Incorporation; 

3, No substantial part of the activities of 

the Corporation shall consist of attempting to influence 

legislation, by propaganda or otherwise; nor shall the Corpo~ 

ration participate in, or intervene in (by the publishing or 

distributing of statements or otherwise), any political 

campaign on behalf of any candidate for public office; 

4, In the event of a liquidation, dissolution, 

termination or winding up of the Corporation (whether volun- 

tary, involuntary or by operation of law), none of the prop- 

erty or assets of the Corporation shall be made available in 

any way to any individual, corporation or other organization, 

except to corporations or other organizations located in the 

United States waich qualify as exempt from United States in- 

come tax under section 501(c)(3) of the United States Internal 

Revenue Code of 1954, as the same may be from time to time 

amended. 

SIXTH: The original members of the corporation 

* shall be the incorporators. The conditions for membership, 

and loss of membership, in the Corporation shall be as stated 

_in the By-laws. The By-laws may be adopted in the first ‘in- 

stance by the incorporators. 



The powers of the Board of Directors, unless 

otherwise specified by the members, shall include the power 

to borrow money and give security in the name of the Corpo- 

ration without limit as to amount, ae only in furtherance 

of the stated objects and purposes of the Corporation; to 

appoint such committee or committees; ineluding an Executive 

Committee, as in its discretion it shall deem desirable and 

din the best interests of ‘the Corporation, and to delegate to 

any such committee ene powers as in its discretion are 

necessary and desirable, but only to the extent permitted 

by law and the By-laws; and to authorize any and all donations, 

gifts, contributions and awards which the Corporation is 

authorized to make. The Board of Directors is expressly 

authorized to amend the By-laws of the Corporation, provided, 

that any such amendment to the By-laws shall pe reported to, 

the next meeting and shall be subject to modification or re- 

peal by the pee:

to issue any capital stock. The existence of the Corporation 

shall be perpetual. 

EIGHTH: ‘The private’ property of the members, di- 

rectors and officers of the Corporation shall not be subject 

to the payment of corporate debts ,to any extent whatsoever.
